By accessing or using the CoiSure platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service. These Terms apply to all users, including insurance agents, carriers, and other entities using the platform.

2. Description of Service

CoiSure provides a cloud-based platform for managing Certificates of Insurance (COI), including:

• Automated COI generation and delivery
• Master template management
• Carrier network connections
• Email verification and sending services
• Request tracking and management

3. Account Registration and Security

3.1 Account Creation

To use our Service, you must:

• Provide accurate, current, and complete information
• Verify your corporate email address
• Maintain the security of your account credentials
• Be at least 18 years of age
• Represent a legitimate business entity

3.2 Account Security

You are responsible for all activity that occurs under your account. You must immediately notify us of any unauthorized use or security breach.

4. Acceptable Use

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to systems

4.2 Professional Use

You represent that you are authorized to use the Service on behalf of your organization and that all certificates generated are accurate and comply with insurance regulations.

5. Billing and Payment

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. You can view current plans on our pricing page.

5.2 Payment Terms

• Payment is processed securely through Stripe
• Subscriptions renew automatically unless cancelled
• Fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Unpaid accounts may be suspended or terminated

5.3 Free Trials

Free trials, if offered, are subject to specific terms. You may cancel before the trial ends to avoid charges.

6. Intellectual Property

6.1 Our Rights

The Service, including all content, features, and functionality, is owned by COI Sure LLC. and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of certificates and data you upload. By using the Service, you grant us a license to:

• Store and process your content
• Generate and deliver certificates
• Provide customer support
• Improve our services (using anonymized data)

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We take data protection seriously and implement industry-standard security measures. You are responsible for ensuring your use complies with applicable data protection laws.

8. SMS/Text Messaging Consent

8.1 Consent to Receive Messages

By providing your phone number and opting in during account registration, you consent to receive SMS/text messages from COI Sure LLC. Messages may include account alerts, verification codes, certificate status updates, and other service-related notifications.

8.2 Marketing Messages

Marketing and promotional SMS messages are optional. Consent to receive marketing messages is not required to use the Service. You may opt in or out at any time.

8.3 Message Frequency and Charges

Message frequency may vary. Standard message and data rates may apply as determined by your mobile carrier.

8.4 Opting Out

You may opt out of SMS messages at any time by replying STOP to any message. For help, reply HELP or contact us at support@coisure.io.

8.5 No Third-Party Sharing

Your SMS consent, phone number, and opt-in data will not be shared with or sold to third parties for their marketing purposes. Phone number data may only be shared with our SMS service provider for the sole purpose of delivering messages on our behalf.

8.6 Carrier Liability

Mobile carriers are not liable for delayed or undelivered messages.

9. Service Availability

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• Complete security against all threats
• Compatibility with all devices or browsers
• Availability during maintenance periods

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

10. Termination

10.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees
• Engage in fraudulent activity
• Pose a security risk

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that it will be error-free.

12. Limitation of Liability

To the maximum extent permitted by law, COI Sure LLC. shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Service interruptions or data loss
• Third-party actions or content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless COI Sure LLC. from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights.

14. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims that may be brought in small claims court.

15. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and CoiSure
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays due to circumstances beyond our control
